Xxxxxx’x Responsibilities. (1) Lessor shall at Lessor's expense (which shall not be included in Common Area Maintenance and Repair Costs unless expressly permitted pursuant to Paragraph 1.E above) maintain the roof (including the roof membrane), the foundation, the structural portions of the Building excluding internal support columns, and the exterior walls of the Building. Lessor’s financial responsibility for the roof is for the structure and membrane alone and does not include the costs of the maintenance of the drain pipes from the roof or other structures appurtenant thereto. Lessor’s financial responsibility for the exterior walls does not include maintenance, repair or replacement of the interior portion of the exterior walls, the interior partition walls, studs, sheet rock, or any windows, window frames, or plate glass or doors or any damage directly caused by the act or omission of Lessee or the costs of repairing any vandalism to the exterior walls or roof - all of which remain the responsibility of Lessee. Except in cases of an emergency posing a danger to persons or property or which materially interfere with the conduct of Lessee’s business, Lessor shall have no obligation to make repairs under this subparagraph until twenty (20) days after receipt of written notice of the need for such repairs from Lessee. If the repairs cannot be completed within twenty (20) days after receipt of such notice, Lessor shall not be in default hereunder if Lessor commences the repairs within the twenty (20) days and continues thereafter to complete the repairs or if said repairs cannot be completed timely due to factors beyond the reasonable control of Lessor.
(2) Lessor, subject to reimbursement as provided elsewhere herein, shall maintain and repair all common areas (including lobbies and passage ways), grounds (including landscaping, parking areas, the Common Roadway, driveways and fences), drain pipes from the roof or other structures appurtenant thereto, any utility systems or services or portions thereof which serve the Building as well as the Premises and any damage caused by vandalism to the roof or exterior walls. If Lessee damages the internal columns in the Premises and fails within thirty (30) days after written notice from Lessor to commence the repair or replacement of said columns, Lessor at Lessor's option may enter the Premises and cause said repairs to be made. Xxxxxx’x Responsibilities. Xxxxxx represents and warrants that it has the legal power and authority to enter into this Agreement. Xxxxxx is responsible for all activity occurring under Xxxxxx’x accounts and shall abide by all applicable laws, and regulations in connection with Xxxxxx’x and/or its customers’ and/or any payers’ use of the Service, including those related to data privacy, communications, export or import of data and the transmission of technical, personal or other data. Xxxxxx represents and warrants that Xxxxxx has not falsely identified itself nor provided any false information to gain access to the Service and that Xxxxxx’x billing information is correct. Xxxxxx shall: (i) notify Invoice Cloud immediately of any unauthorized use of any password or account or any other known or suspected breach of security; (ii) report to Invoice Cloud and immediately stop any copying or distribution of Content that is known or suspected to be unauthorized by Xxxxxx or Xxxxxx’x Users; and (iii) obtain consent from Xxxxxx’x customers and payers to receive notifications and invoices from Invoice Cloud. Invoice Cloud is not responsible for any Xxxxxx postings in error due to delayed notification from credit card processor, ACH bank and other related circumstances. Xxxxxx agrees and acknowledges that in the event that Xxxxxx has access to, receives from, creates, or receives protected health information, or Xxxxxx has access to, creates, receives, maintains or transmits on behalf of electronic protected health information (as those terms are defined under the privacy or security regulations issued pursuant to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and Subtitle D of the Health Information Technology for Economic and Clinical Health Act provisions of the American Recovery and Reinvestment Act of 2009 (“ARRA”),during the performance under this Agreement, it will comply with all such law, regulations and rules related thereto. Xxxxxx’x Responsibilities. If the maintenance option is selected by CLIENT, XXXXXX will provide all services necessary to maintain plants in good, healthy condition.
Xxxxxx’x Responsibilities. A. It shall be the duty of the xxxxxxx to uphold the working rules and jurisdiction of the United Association of Plumbers and Steamfitters. The xxxxxxx shall take up all grievances on the job and try to have same adjusted, and in the event the xxxxxxx, the employee, and supervisor cannot adjust them, the xxxxxxx must promptly report the fact to the business manager of the Union.
B. The Union shall submit in writing the names of its stewards and such changes of stewards as may occur from time to time to the District, and the school district shall recognize such stewards selected.
C. The shop xxxxxxx shall be a working journeyman of Local Union 44 appointed by the business manager and shall exclude xxxxxxx.
D. The local Union xxxxxxx shall be allowed access to all places where members of the Union are employed. The shop xxxxxxx’x immediate supervisor shall be notified before the xxxxxxx acts on any issue which takes him/her away from the district facility in which he/she is working. The shop xxxxxxx shall be allowed reasonable time for the performance of his/her duties, and in no case shall a xxxxxxx suffer discrimination because of the performance of the xxxxxxx’x Union functions.
E. Any and all accidents on the job shall be reported immediately to the local Union business office by the shop xxxxxxx.
F. The xxxxxxx shall inform the shop xxxxxxx of any assigned overtime.
Xxxxxx’x Responsibilities. A. Attend face-to-face training for the first year of the Farm Direct Agreement on Farm Direct procedures; provide training to and be accountable for the actions of employees in the provision of fresh fruits and vegetables, redemption of FMNP benefits, and submission of FMNP benefits for payment as outlined in the Farm Direct Handbook.
B. Receive annual training on Farm Direct procedures for every subsequent year of the Farm Direct Agreement.
C. At least sixty (60) percent of all produce for sale must be grown by the Farmer, and all WIC- eligible produce must be locally grown. The Farmer will clearly identify and separate produce which is not eligible to be paid for with FMNP benefits.
D. Provide authorized fresh fruits and vegetables to participants or proxies at the same price or less than is charged to other customers. Keep a copy of approved food list at point of sale.
E. Do not sell any unauthorized food items, as specified on the Farm Direct Authorized Food List.
F. Clearly mark or post current prices, including sale prices, either on the eligible fresh fruits, and vegetables or on a sign immediately next to or in front of the items.
G. Do not accept FMNP benefits before the agreement has been fully executed, signed by the Farmer and the Department, and a Farm Direct ID stamp has been assigned. Stamps will not be assigned until after training has been completed.
H. Prominently post or display the Montana WIC Program Farm Direct sign at the point of sale.
I. Accept FMNP benefits as payment for eligible foods only if presented on or after the first valid date of use and on or before the last date of use printed on the benefit.
J. Comply with the redemption procedures regarding FMNP benefit transactions as detailed in the Farm Direct Handbook, which includes ensuring the WIC customer’s signature is placed on the benefit after the purchase date and amount of the purchase is entered.
K. Stamp each transacted FMNP benefit with the authorized Farm Direct ID number prior to deposit and submit benefits for payment on or before the deposit date printed on the face of the benefit.
L. Offer WIC participants and proxies the same courtesies extended to other customers.
X. Xxxxxxx may not contact a WIC participant or proxy in an attempt to recover funds for a FMNP benefit not reimbursed or for which overcharges were requested.
N. No cash may be exchanged and no change may be given for purchases made with FMNP benefits. O. FMNP benefits may not be traded for cash.

Xxxxxx’x Responsibilities. 1 The Company recognizes the right of the Union to designate Stewards from those employees named on the Company Seniority List who are members of the Union. Stewards duties shall be performed during normal working hours for reasonable time durations after permission is granted by the employee’s supervisor to leave his normal work, when the supervisor determines that work requirements of the Xxxxxxx, as well as any employee with whom the Xxxxxxx asks to meet, will allow. The Supervisor will not unreasonably delay the Xxxxxxx from attending to their Union business. The Xxxxxxx and employee shall immediately report to the supervisor and return to work once the meeting or investigation is completed or when directed by the supervisor, whichever occurs first.
2 An employee requesting to meet with his designated Union representative shall not be unduly or unreasonably denied the opportunity to meet with his Xxxxxxx. When the Company or an employee requests the presence of a Xxxxxxx, a Xxxxxxx or alternate xxxxxxx shall be required to report to the meeting even when such meeting occurs outside the Stewards’ regular work hours. Every effort will be made to schedule this meeting during the normal working hours of a Xxxxxxx. If the meeting cannot be so accommodated the Xxxxxxx will be compensated for all time spent attending said meetings at the Stewards regular straight time rate of pay.
3 Stewards or a designee from the crew shall assist the Company in monitoring and updating the scheduled overtime roster and assisting the Company in applying the rotating overtime list. In the performance of this duty, the shop xxxxxxx or designee may be asked to contact employees by telephone or other means, as well as any other task associated with the assignment of scheduled overtime. In the performance of this duty, the Xxxxxxx or designee shall be the Union’s official agent. The Xxxxxxx will perform this duty during his regular work hours when the Company assigns it.
Xxxxxx’x Responsibilities. It is Xxxxxx’x sole responsibility to:
Xxxxxx’x Responsibilities. 1. Xxxxxxx will be responsible for emergency and non-emergency ambulance responses and ambulance transports originating in the County on a twenty-four basis every day of the term covered by this Agreement.
2. Emergency ambulance dispatch shall be coordinated through the County’s dispatch center and shall follow the guidelines set forth by the County.
3. Xxxxxxx shall have in place within the Service Area, four (4) fully staffed, outfitted, and equipped ALS ambulance units 24/7 every day of this agreement. This is subject to the active deployment of such unit or units outside of the Service Area during the performance of duties required by this Agreement.
4. Xxxxxxx shall provide to the County one (1) additional fully staffed, outfitted and equipped ALS ambulance units, Monday through Friday in order to handle surge call volume, subject to the active deployment of such unit or units outside of the Service Area during the performance of duties required by this Agreement.
5. The equipment and staffing standards set forth above are the minimum levels required and Xxxxxxx agrees that, if reasonably necessary, upon request it will provide additional equipment and staffing to achieve the response time standards set forth above.
6. Xxxxxxx must provide a redundancy system to facilitate emergency calls when all of Xxxxxxx’x ambulance service resources have been allocated to other emergency situations, regardless of the total number of ambulances required to meet this standard. Xxxxxxx shall provide any and all additional resources needed to meet the County’s response criteria set forth within this Agreement.
7. In addition, every ambulance unit provided by Xxxxxxx for emergency response must, at all times, except authorized herein, be fully equipped with all necessary ALS equipment and staffed to operate at the advanced life support (paramedic) level on all ambulance responses, including immediate and urgent services. Clinical performance must be consistent with all Mississippi State Department of Health policies and approved medical standards.
8. Xxxxxxx will be responsible for providing the necessary radio equipment and upgrades within each response unit compatible to the radio and dispatch system already being utilized at the County’s dispatch center. (MSWIN, 700Mhz, 800Mhz and/or 154 Hz frequency systems)

Xxxxxx’x Responsibilities. 5.1. In support of its commitment to the common vision set out in Article 1.2 above, Xxxxxxx undertakes the following responsibilities during the term hereof:
5.1.1 Xxxxxxx will operate its sales and marketing teams in North America and the UK to support the Distributor’s team referenced in Article 4.1.1 above.
5.1.2 Xxxxxxx will operate its engineering teams in North America and in the UK to support the Distributor’s team referenced in Article 4.1.2 above.
5.1.3 Xxxxxxx will supply to the Distributor free of charge one copy of a pre-agreed list of Xxxxxxx literature for its own use. The Distributor will not copy or reproduce any Product related literature without Xxxxxxx prior written approval. The Distributor will be responsible for purchasing from Xxxxxxx all necessary literature for circulation to its branches, Dealers and customers.
5.1.4 Xxxxxxx will provide training and Product familiarization courses to the Distributor’s personnel on pre-agreed terms.
5.1.5 Xxxxxxx will provide factory level support to the Distributor’s team in accordance with pre-agreed terms.
5.2. Xxxxxxx shall retain the design and manufacturing responsibility for the Products and responsibility for final sign-off of all applications, engineering and specifications of such Products.
5.3. Every year Xxxxxxx will undertake with the Distributor a detailed review of the Distributor’s performance over the previous twelve (12) months. Particular regard will be paid to the relevant Distributor business plan and the Distributor’s performance against it. The Distributor’s performance will be evaluated on the basis of criteria established by Xxxxxxx including but not limited to sales objectives detailed In the Distributor’s business plan, the Distributor’s achievements in its Territory compared to that of other distributors in comparable areas, previous-Xxxxxxx review comments and Distributor action plans, and the Distributor’s improvements in its operations, organization and facilities to increase its sales performance and customer service. The Parties will agree to a detailed action plan arising out of the review and will thereafter monitor their respective progress against this plan.
5.4.
