Xxxxxxx Services. For the software generally, contact the manufacturer or installer for support options. Refer to the support number provided with the software. For updates and supplements obtained directly from Microsoft, Microsoft provides support as described at xxx.xxxxxxx.xxxxxxxxx.xxx/xxxxxx/xxxxxxxxxxxxx.xxxx. If you are using software that is not properly licensed, you will not be entitled to receive support services.
Xxxxxxx Services. Microsoft provides support services for the software as described at xxx.xxxxxxx.xxxxxxxxx.xxx/xxxxxx/xxxxxxxxxxxxx.xxxx. If you are using software that is not properly licensed, you will not be entitled to receive support services.
Xxxxxxx Services. TeamViewer’s only obligation for Support Services shall be to provide those specific Support Services set forth and described on the Order (if any), subject to Customer’s payment in full for such Support Services. This shall not affect any statutory warranty claims of the Customer.
Xxxxxxx Services. At the Company’s request, Affimed shall cooperate and coordinate with Xxxxxxx with respect to the services to be performed by Xxxxxxx under Section 5.1(b) of the Warrant Agreement (the “Xxxxxxx Services”). Affimed further agrees that, to the extent that Xxxxxxx fails to timely perform, in whole or in part, the Xxxxxxx Services, Affimed shall perform the services which Xxxxxxx had failed to perform, provided that, in such event, the Company shall reimburse Affimed for ***** in connection with such services.
Xxxxxxx Services. 4.1 From the date of this Agreement Xxxxxxx shall, subject to the further provisions of this Clause 4, provide support, assistance and advice to Cobalt and its Affiliates in:
(a) the negotiation, drafting, execution and performance of any Government Contract in relation to any Block with Sonangol and the Government and their respective representatives and affiliates;
(b) any negotiations with Sonangol and the Government and their respective representatives and affiliates in relation to the potential award to Cobalt or its Affiliates of any Block; and
(c) the establishment by Cobalt and its Affiliates of its business and operations in the Republic of Angola.
4.2 The services to be provided pursuant to Clause 4.1 shall:
(a) include such services and support as Cobalt may reasonably request from time to time on reasonable notice to Xxxxxxx; and
(b) be provided by Xxxxxxx through the services of Mr Xxxx Xxxxxxx and such other employees or representatives of Xxxxxxx as Cobalt may from time to time approve for such purpose.
4.3 Cobalt acknowledges that Xxxxxxx may encounter practical impediments in the performance of the Services, including failure by Sonangol and/or the Government to attend meetings when arranged or to respond to correspondence in a timely manner. Except as prevented by such impediments, Xxxxxxx shall:
(a) perform the Services with due diligence, with all reasonable skill and care, and in compliance with all applicable laws and regulations;
(b) act in, and use its best efforts to promote and protect, the interests of Cobalt and in accordance with the reasonable directions and instructions of Cobalt to the extent that such directions or instructions are not in conflict with the other provisions of this Agreement;
(c) use its best efforts to devote to the Services such of its and its employees’ and representatives’ time, attention and resources as may be reasonable and necessary for the proper performance of the Services; and
(d) keep Cobalt fully informed as to Xxxxxxx’x progress in performance of the Services and give to Cobalt such information regarding the provision of Services and such information obtained by Xxxxxxx in the course of performing the Services as Cobalt may reasonably require.
4.4 Xxxxxxx shall immediately disclose to Cobalt any conflict which arises between the interests of Cobalt and the interests of Xxxxxxx or of any officer, director, employee, client or customer of Xxxxxxx, or which arises as a result of any present or fut...
Xxxxxxx Services. A Project Manager will provider a set of instructions outlining the required components from Customer to complete the mobile branding. The Project Manager will review the files returned from Customer and if everything is correct, he/she will coordinate the creation of a branded mobile application. Customer will be allowed to review and test the branded application prior to publication to the application stores.
Xxxxxxx Services. The School of Medicine provides access to confidential, affordable medical health assessments, counseling, medical and psychological support services and treatment, 24 hours a day, seven days a week, as further detailed in the Manual.
Xxxxxxx Services. In order to achieve the Completion of Services, Xxxxxx agrees, subject to the terms and conditions of this Agreement, to perform the following services (the “Services”) for the Organization:
(a) Oversee and implement the conversion from the Organization’s existing software applications to Xxxxxx’x Software.
(b) Install the Software and perform necessary set up and configuration operations.
Xxxxxxx Services. Because this software is “as is”, we may not provide support services for it.
Xxxxxxx Services. (a) Schwab will act as broker/dealer of record for each Schwab customer who invests in Shares, and will also act as custodian of those Shares for the benefit of each such customer (each, a “Schwab customer” or an “investor”). Such Shares will be held in each Schwab customer’s Schwab brokerage account (each, an “Account”). Through the Accounts, Schwab will purchase and redeem Shares, reconcile transactions, obtain pricing information, reinvest distributions, as applicable, and maintain records in accordance with the operating procedures set forth in Exhibit A hereto (the “Operating Procedures”). In addition, Schwab will facilitate communication with Fund investors who are Schwab customers and perform other obligations in accordance with the Operating Procedures.
(b) Schwab will provide Schwab customers that are potential investors in the Fund with information pertaining to AIS, Xxxxxx’x alternative investment process in general, and instructions on how to invest in the Fund through Schwab.
(c) Schwab will be responsible for its compliance and the compliance of each of its Affiliates (as defined below) in all material respects with all applicable laws, rules and regulations in connection with the services performed by Schwab and/or its Affiliates pursuant to this Agreement.
