Xxxxxxxx-Xxxxx Requirements. Provider recognizes that Company is subject to the Xxxxxxxx-Xxxxx Act of 2002. In addition to the Control Objectives, Provider shall provide whatever assistance is necessary to assist Company in complying with such requirements with respect to its outsourced functions. Provider shall comply with Company’s financial reporting and control processes as set forth in the Policies and Procedures Guide (and as such processes are revised from time to time by Company) and provide Company with copies of all related records, reports and data as necessary for Company to satisfy the Xxxxxxxx-Xxxxx Act of 2002. Provider shall recommend and, subject to Company approval, implement compliance measures to satisfy the Xxxxxxxx-Xxxxx Act of 2002 with respect to the Services. Provider may use Direct Provider Labor in complying with the requirements of this Section 15.10.
Xxxxxxxx-Xxxxx Requirements. Manager recognizes that Safeco will be subject to Xxxxxxxx-Xxxxx Requirements. From time to time, upon Safeco’s reasonable request, the Parties will meet together to discuss any new or additional Xxxxxxxx-Xxxxx Requirements and related Safeco compliance measures and financial reporting related to the Services provided by Manager. The Parties will cooperate in good faith to determine in scope any reasonable documentation or assistance that may be requested of Manager and agree upon timeframes and additional costs, if any, that may be applicable with respect to any implementation of such new or additional Xxxxxxxx-Xxxxx Requirements. Control objectives contained in Manager’s SAS 70 Type 2 Reports will include key controls that support (but do not replace) Safeco’s Financial Reporting Control Objectives set forth in Schedule E. Safeco acknowledges and agrees that Manager’s most recent SAS 70 Type 2 Reports delivered to Safeco prior to the Effective Date do include key controls that support such Financial Reporting Control Objectives. Manager will continue to maintain a control framework that is consistent with and comparable to those contained in its most recent SAS 70 Type 2 Reports delivered to Safeco prior to the Effective Date.
Xxxxxxxx-Xxxxx Requirements. IBM recognizes that Federal-Mogul will be subject to Xxxxxxxx-Xxxxx Requirements. IBM shall provide any commercially reasonable assistance that is necessary to assist Federal-Mogul to comply with such requirements with respect to its outsourced finance and accounting functions. IBM will comply with Federal-Mogul’s financial reporting process as set forth in the Policies and Procedures Guides (and as such process is revised from time to time by Federal-Mogul) and provide Federal-Mogul with copies of all related records, reports and data as necessary for Federal-Mogul to satisfy Xxxxxxxx-Xxxxx Requirements. IBM shall, subject to the Change Control Procedure, implement any compliance measures identified by Federal-Mogul that are necessary to satisfy Xxxxxxxx-Xxxxx Requirements.
Xxxxxxxx-Xxxxx Requirements. Supplier recognizes that Company shall be subject to the Xxxxxxxx-Xxxxx Act of 2002. In addition to those requirements set forth in Exhibit 2 (Statement of Work) and Exhibit 24 (Compliance Requirements and Control Objectives), Supplier shall provide whatever assistance is necessary to enable Company to comply with such requirements with respect to its outsourced information technology functions. Supplier’s performance of the Services and other obligations under this Agreement shall comply with Company’s financial reporting and control processes as set forth in the Policies and Procedures Manual (and as such processes are revised from time to time by Company) and provide Company with copies of all related records, reports and data as necessary for Company to satisfy the Xxxxxxxx-Xxxxx Act of 2002. Supplier shall recommend and, subject to Company approval, implement compliance measures to satisfy the Xxxxxxxx-Xxxxx Act of 2002.
