Year 2000 Compliant. Borrower shall perform all acts reasonably necessary to ensure that (a) Borrower and any business in which Borrower holds a substantial interest, and (b) all customers, suppliers and vendors whose compliance is likely to be material to Borrower's business, become Year 2000 Compliant in a timely manner. Such acts shall include, without limitation, performing a comprehensive review and assessment of all Borrower's systems and adopting a detailed plan, with itemized budget, for the remediation, monitoring and testing of such systems. As used in this paragraph, "Year 2000 Compliant" shall mean, in regard to any entity, that all software, hardware, firmware, equipment, goods or systems utilized by or material to the business operations or financial condition of such entity, will properly perform date sensitive functions before, during and after the year 2000. Borrower shall, immediately upon request, provide to Agent such certifications or other evidence of Borrower's compliance with the terms of this paragraph as Bank may from time to time require.
Year 2000 Compliant. The Administrator warrants that all software code owned or under control by it, used in the performance of its obligations hereunder will be Year 2000 Compliant. For purposes of this paragraph, "Year 2000 Compliant" means that the software will continue to operate beyond December 31, 1999 without creating any logical or mathematical inconsistencies concerning any date after December 31, 1999 and without decreasing the functionality of the system applicable to dates prior to January 1, 2000 including, but not limited to, making changes to (a) date and data century recognition; (b) calculations which accommodate same- and multi- century formulas and date values; and (c) input/output of date values which reflect century dates. All changes described in this paragraph will be made at no additional cost to the Fund.
Year 2000 Compliant. You represent, warrant and agree to take all action necessary, including, but not limited to, due inquiry and due diligence with critical business partners to assure that there will be no material adverse change to your business by reason of the advent of the year 2000, including, without limitation, that all computer-based systems, embedded microchips and other processing capabilities effectively recognize and process all dates before and after December 31, 1999 ("Y2K Compliant"). At our request, you shall provide to us assurance reasonably acceptable to us that your computer-based systems, embedded microchips and other processing capabilities are Y2K Compliant.
Year 2000 Compliant. The Advisor represents and warrants that all services rendered and all computer systems used in the performance of the Advisor's obligations under this Agreement shall be Year 2000 Compliant. "Year 2000 Compliant" means that the services and systems are designed to and shall:

The Distributor warrants that all software code owned by or under the Distributor's control, used in the performance of the Distributor's obligations under this contract, will be Year 2000 compliant. For purposes of this paragraph, "Year 2000 Compliant" means that the software will continue to operate beyond December 31, 1999 without creating any logical or mathematical inconsistencies concerning any date after December 31, 1999 and without decreasing the functionality of the system applicable to dates prior to January 1, 2000 including, but not limited to, making changes to [a] date and data century recognition; [b] calculations which accommodate same- and multi-century formulas and date values; and [c] input/output of date values which reflect century dates. All changes described in this paragraph will be made at no additional cost to the Trust.

The Sub-Advisor represents and warrants that all services rendered and all computer systems used in the performance of the Sub-Advisor's obligations under this Agreement shall be Year 2000 Compliant. "Year 2000 Compliant" means that the services and systems are designed to and shall:

Year 2000 Compliant. The Sub-Advisor represents and warrants that all services rendered and all computer systems licensed, maintained or controlled by the Sub-Advisor as well as the Sub-Advisor's interfaces with third parties (provided that the foregoing does not represent or warrant that the third party's systems are Year 2000 compliant) utilized in the performance of the Sub-Advisor's obligations under this Agreement shall be Year 2000 Compliant. "Year 2000 Compliant" means that the services and systems are designed to and shall:
Year 2000 Compliant. 38 AGREEMENT AND PLAN OF REORGANIZATION dated as of September 7, 1999, among Wireless Telecom Group, Inc., a New Jersey corporation ("Parent"), WTT Acquisition Corp., a New Jersey corporation and wholly-owned subsidiary of Parent ("Acquisition Sub"), and Boonton Electronics Corp., a New Jersey corporation (the "Company"), and the Company's shareholders listed on the signature page to this Agreement (the "Principal Shareholders").
Year 2000 Compliant. Borrowers covenant and agree with the Lender that, while any of the Obligations are outstanding, Borrowers will:
(a) Furnish such additional information, statements and other reports with respect to Borrowers' activities, course of action and progress towards becoming Year 2000 Compliant as the Lender may request from time to time.
(b) In the event of any change in circumstances that causes or will likely cause any of Borrowers' representations and warranties with respect to its being or becoming Year 2000 Compliant to no longer be true (hereinafter, referred to as a "Change in Circumstances") then Borrowers shall promptly, and in any event within ten days of receipt of information regarding a Change in Circumstances, provide the Lender with written notice (the "Notice") that describes in reasonable detail the Change in Circumstances and how such Change in Circumstances caused or will likely cause Borrowers' representations and warranties with respect to being or becoming Year 2000 Compliant to no longer be true. Borrowers shall, within five days of a request, also provide the Lender with any additional information the Lender requests of Borrowers in connection with the Notice and/or a Change in Circumstances.
(c) Upon reasonable notice, give any representative of the Lender access during all reasonable business hours to, and permit such representative to examine, copy or make excerpts from, any and all books, records and documents in the possession of Borrowers and relating to their affairs, and to inspect any of the properties and Systems of Borrowers, and to project test the Systems to determine if they are Year 2000 Compliant in an integrated environment, all at the sole cost and expense of the Lender.
