Your Authority. Your execution of this Agreement is authorized by a resolution or ordinance of your governing body. The signature of the individual signing on your behalf has been made with complete and full authority to commit you to all the terms and conditions of this Agreement. Evidence of signature authority should be forwarded to the City with the executed Agreement.
Your Authority. We have the authority to follow the instructions received from any one of you (alone) relating to the Account. These instructions may include the delivery of securities or other property or the making of payments to any of the principals in the Account or to another party. You authorize us to follow the instructions even if the payments or delivery of securities are being made directly to one of the principals in the Account. It is not our responsibility to question the purpose or propriety of a delivery or payment. Provided we have acted correctly on the instructions we receive, we are not responsible for the outcome of the action. We reserve the right to restrict activity at any time in the Account or to require joint written instructions by all of you for any Account activity.
Your Authority. You permit us to regard all activities you conduct or instructions sent after you enter your access code as being authorised by you and intended to have legal force and effect.
Your Authority. You may from time to time without notice to us and/or without our consent and upon such terms and conditions as you may deem advisable without affecting this Guaranty:
(a) release any Credit Party, any maker, guarantor, surety or other person liable for payment of all or any part of the Obligations;
(b) make any agreement extending or otherwise altering the time for or the terms of payment of all or any part of the Obligations;
(c) modify, waive, forbear, compromise, release, subordinate, resort to, exercise or refrain from exercising any right you may have hereunder, or under any of the Loan Documents;
(d) accept or decline additional security or guarantees of any kind;
(e) endorse, transfer or assign the Note or any other security to any other party;
(f) accept partial payment or payments on account of the Obligations;
(g) make loans or give or extend further or additional credit to or for the benefit of any Credit Party;
(h) release, settle or compromise any of your claims against any Credit Party or any other person, firm, corporation, guarantor, or account debtor whose obligation is held by you as collateral security for the Obligations;
(i) release or substitute collateral, guaranties or guarantors; and/or
(j) amend the Agreement whether or not such amendment increases the likelihood of our liability under this Guaranty.
Your Authority. (a) We assume all Instructions are complete and we will be entitled to act for you upon Instructions given or purporting to be given by you or any person authorised on your behalf without further enquiry as to the genuineness, authority or identity of the person giving or purporting to give such Instructions.
(b) It is your responsibility to ensure that Transactions are authorised or carried out by individuals who have been properly authorised by you. We will not be liable to you or, where you are acting as agent, to the Underlying Client, if we accept and act upon Instructions from individuals who do not have the necessary authority.
Your Authority. We grant You the following authority:
1.1 To receive, accept and bind in any jurisdiction where You are properly licensed and where We have notified the state that You are Our agent, proposals for contracts of insurance and for fidelity bonds in such classes of risks and to such limits as We may from time too time authorize by letter of instruction, underwriting guide, binding guide, or other written instruction.
1.2 To countersign the kinds of insurance contract to which this Agreement applies. Where countersignature by You of a new or renewal policy written by You is required by law, You authorize Us to countersign on behalf of You by any method authorized by applicable state statutes.
1.3 To collect, receive, and receipt for premiums on insurance placed with Us by You.
Your Authority. You permit us to regard all activities you conduct, or instructions sent when you request for EZ Cash as being authorized by you and intended to have legal force and effect. You permit us to issue notices required in terms of these Terms & Conditions, legislation or regulation by making such notification available via our communication systems or sending such notification by email, SMS or similar future technologies. Any notices so issued by us, will as far as they contain contractual terms relating to EZ Cash, also form part of these Terms and Conditions. Information on the communication system is intended to provide you with only general information about the bank, its products, services and objectives. 1. APPLICATION OF THIS SCHEDULE
1. This Schedule applies if you have requested in your Order Form that We supply you with Landline Services.
Your Authority. If you are acting as an employee or other representative of an organization ("Your Organization"), you represent and warrant that you have authority to legally bind Your Organization to the terms and conditions of this Agreement.
