AGREEMENT made this 15 day of May 2017 between New York Alaska ETF Management LLC, a Nevada limited liability company (“Adviser”), and State Funds, a Delaware statutory trust (“Trust”), on behalf of each series of the Trust listed on the attached Exhibit A as it may be amended from time to time (each series is hereinafter referred to as a “Fund”). This agreement is an amendment to the same identical agreement signed between the Trust and the Adviser dated 12 day of December 2016 and attached hereto as Exhibit B.
