As you may know, a tender offer (the "Everest Offer") to purchase up to 317 units, or approximately 40% of the outstanding units, of Wilder Richman Historic Properties II, L.P. (the "Partnership") has been announced by Everest Investors 14, LLC ("Everest") at a purchase price of $13,000 per unit (the "Offer Price"). The Partnership has filed with the Securities and Exchange Commission (the "SEC") a statement on Schedule 14D-9 relating to the Everest Offer. A copy of that Schedule 14D-9, which you should read carefully, is enclosed with this letter.

As you may know, a tender offer (the "Dixon Offer") to purchase 408 units, or approximately 51% of the outstanding units, of Wilder Richman Historic Properties II, L.P. (the "Partnership") has been announced by Dixon Mill Investor, LLC, an affiliate of the operating general partner ("Dixon"), at a purchase price of $13,500 per unit (the "Dixon Offer Price"). Dixon originally offered $13,250 per unit, but increased its offer price to $13,500 per unit on February 18, 2004. The Partnership has filed with the Securities and Exchange Commission (the "SEC") a statement on Schedule 14D-9 relating to the Dixon Offer. A copy of that Schedule 14D-9, which you should read carefully, is enclosed with this letter.

THIS REINSTATEMENT OF AND FIFTH AMENDMENT TO AGREEMENT OF PURCHASE AND SALE (this “Amendment”) is made effective as of October 27, 2006 by and between DIXON-MILL ASSOCIATES I (PHASE ONE) LIMITED PARTNERSHIP, DIXON-MILL ASSOCIATES II (PHASE TWO) LIMITED PARTNERSHIP, and DIXON-MILL ASSOCIATES III (PHASE THREE) LIMITED PARTNERSHIP, each a New Jersey limited partnership (collectively, “Seller”), and RMPC DIXON LLC, a Delaware limited liability company (“RMPC”) and RGD HOLDING COMPANY, LLC, a Delaware limited liability company (“RGD”, and together with RMPC, “Purchaser”).
