ARTICLE I DEFINITIONS 1.1 Definitions. As used in this Agreement, the following terms shall have the following meanings: “Accredited Investor” shall have the meaning ascribed to it under Rule 501(a) of Regulation D promulgated under the Securities Act of 1933. “Act” shall mean the Oklahoma Limited Liability Company Act, as now in effect or as amended from time to time. “Adjusted Capital Account Deficit” shall mean, with respect to any Member, the deficit balance, if any, in the Member’s capital account as of the end of the relevant taxable year, after giving effect to the following adjustments:
