These terms and conditions are entered into between the Parties pursuant to an Order. Delivery of the Licensed Materials or performance of any of the Support and Maintenance Services shall be deemed to be acceptance of the Order by the Licensor. These terms and conditions shall prevail over any contrary, different or additional terms or conditions howsoever communicated (including without limitation any terms and conditions attached to or referenced or contained in the Quotation).
