These Terms and Conditions apply to the exclusion of any other terms that the End User seeks to impose or incorporate(aside from terms agreed to in a Negotiated Purchase Order), or which are implied by trade, custom, practice or course of dealing. These Terms and Conditions shall supersede all and any other terms and constitutes the entire agreement between the parties (“Agreement”) and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
