Reference is made to the arrangement agreement between Castillian Resources Corp. (“Castillian”) and Ridgemont Iron Ore Corp. (the “Ridgemont”) made as of April 30, 2013, as may be amended or supplemented from time to time (the “Arrangement Agreement”), pursuant to which Ridgemont and Castillian have agreed to consummate the Plan of Arrangement on the terms and subject to conditions set forth therein. Terms defined in the Arrangement Agreement that appear herein without definition shall have the meanings ascribed to them in the Arrangement Agreement.
