RESTATED DEVELOPMENT AGREEMENT (this “Supplement and Amendment”), dated effective as of the day of June, 2023 (the “Effective Date”), is made and entered into by and among WHARF RETAIL PROPERTIES, LLC, a Louisiana limited liability company (“Wharf Retail”), WHARF ENTERTAINMENT PROPERTIES, LLC, a Louisiana limited liability company (“Wharf Entertainment”), THE WHARF LANDING, LLC, a Louisiana limited liability company (“Wharf Landing”) and the CITY OF ORANGE BEACH, ALABAMA, a municipality organized and existing under the laws of the State of Alabama (the “City”).
