THIS AMENDED AND RESTATED EXCLUSIVE WHOLESALE PRODUCT PURCHASE AGREEMENT (the “Agreement”) is made this 8th day of August, 2012, effective as of the 1st day of March, 2012, (the “Effective Date”) by and between Priority Healthcare Distribution, Inc., doing business as CuraScript SD Specialty Distribution, a Florida corporation having offices at 255 Technology Park, Lake Mary, Florida, 32746 (“Distributor”), and Corcept Therapeutics Incorporated, a Delaware corporation having offices at 149 Commonwealth Drive, Menlo Park, CA 94025 (“Company”).
