This Amendment No. 1 (the “Amendment”) is made by and between Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a New York corporation with offices at 185 Franklin Street, Boston, Massachusetts 02110 , and Think 12 Corporation d/b/a Hello Depot, a corporation with offices at 1530 Barclay Blvd., Buffalo Grove, Illinois 60089 (“Hello Depot”), and shall be deemed effective on May 4, 2004 and in no event later than the date on which the Agreement (as defined below) takes effect (the “Amendment Effective Date”). Verizon and Hello Depot are hereinafter referred to collectively as the “Parties” and individually as a "Party". This Amendment covers services in Verizon’s service territory in the Commonwealth of Massachusetts (the ”Commonwealth”).
