This Confidentiality and Nondisclosure Agreement (the “Agreement”) is made by and between 1912 Ventures, LLC (“Seller’s Broker”), and the interested registered buyer (“Principal”) and, if represented by a broker (“Co-Broker”), executing this Agreement, collectively, the (“Receiving Party”), and is thereafter effective as of the date this Agreement is executed by the Receiving Party (“Effective Date”);
