THIS DEVELOPMENT AGREEMENT (this “Agreement”) is made as of this day of , 2023 (the “Effective Date”) by and among the CITY OF MOBERLY, MISSOURI, a city of the third classification and Missouri municipal corporation having a principal office at 101 West Reed Street, Moberly, Missouri 65270 (the “City”); MOBERLY AREA ECONOMIC DEVELOPMENT CORPORATION, a Missouri nonprofit corporation having a principal office at 115 North Williams Street, Moberly, Missouri 65270 (the “EDC”); and EQUIPMENTSHARE.COM INC., a Delaware corporation duly authorized to do business in Missouri and having a principal office at 5710 Bull Run Drive, Columbia, Missouri 65201 (together with its Affiliates, successors and assigns, the “Company”). Capitalized terms used in this Agreement shall have the meanings ascribed to them in Article I of this Agreement.
