FOR VALUE RECEIVED, the “Maker” (meaning, each entity executing this Promissory Note and Security Agreement (this “Note”)) promises to pay to the order of THE COUNTY OF BERKS, PENNSYLVANIA, a Pennsylvania political subdivision (the “Holder”), the principal sum of Ten Thousand Four Hundred Thirty Seven and 92 /100 Dollars ($ 10,437.92 ) without interest. The amounts owed under this Note have been provided to allow Maker to purchase the end user pagers(the “Hardware”) purchased by the Holder for the benefit of the Maker from Unication USA (or any related or affiliate entity or distributor) with the proceeds of this Note and described with specificity on Exhibit “A” attached hereto and incorporated herein by this reference thereto, for the Maker’s participation in and use of the Holder’s county-wide public safety radio system (the “Public Safety System”). This Note is subject to the following additional terms and conditions set forth below:
