We refer to the agency agreement dated 7 August 2013 (as amended or supplemented from time to time, the “Agency Agreement”) in relation to the U.S.$1,000,000,000 7.875 per cent. Notes due 2023 (the “Notes”) of Republic of Ghana (the “Issuer”) and made between the Issuer, Citigroup Global Markets Deutschland AG as registrar (the “Registrar”, which expression includes any successor registrar appointed from time to time in connection with the Notes), Citibank, N.A., London Branch as Fiscal Agent and the other paying agents and the transfer agents named therein. Capitalised terms used but not defined herein shall have the meanings given to them in the Agency Agreement. Other terms shall have the meanings given to them in Regulation S under the United States Securities Act of 1933 (the “Securities Act”).
