THIS AGREEMENT (this “Agreement”) dated as of June _. 2008, by and between FIDELITY NATIONAL FINANCIAL, INC., a Delaware corporation (together with its subsidiaries, affiliates, successors and assigns, collectively “FNF”), and LENDER PROCESSING SERVICES, INC., a Delaware corporation (together with its subsidiaries, affiliates, successors and assigns, collectively “LPS” or the “Manager”). FNF and LPS are herein referred to individual as a “Party” and, collectively, the “Parties”.
