Genius Sports Limited, a non-cellular company limited by shares incorporated and registered under the laws of the Island of Guernsey (the “Company” or “we”), and BofA Securities, Inc. (the “Solicitation Agent” or “you”) entered into a Solicitation Agent Agreement on November 18, 2022. The Company and Solicitation Agent hereby agree that the Prior Agreement shall be amended and restated in its entirety by this Agreement and agree as follows.

Genius Sports Limited, a non-cellular company limited by shares incorporated and registered under the laws of the Island of Guernsey (the “Company” or “we”), plans to solicit consents (the “Consents”) from the holders of outstanding warrants (the “Warrants”) (as described in the Offering Documents (as defined below), the “Consent Solicitation”) to amend the Warrant Agreement to shorten the Exercise Period (as such term is defined in the Warrant Agreement) of the Warrants (the “Warrant Amendment No. 2” and the Warrants, as so amended, the “Amended Warrants”). Subject to the terms and conditions set forth in the Offering Documents, if Consents are received from the holders of at least 50% of the number of the then outstanding Warrants (which is the minimum number required to amend the Warrant Agreement), the Warrant Amendment No. 2 shall be adopted.
