The ENA sets forth that the CCRA and LPC (collectively, “the Parties”) will collaborate on a master plan for the site and negotiate the terms of a proposed Disposition and Development Agreement (“DDA”) for the site’s future development. Through negotiations, the Parties will determine the specific terms of a DDA which would be for the purpose of designing, permitting, developing, constructing, and operating a multi-story, mixed use district with public facilities and amenities on the site. Through the ENA, the CCRA grants to LPC the right to negotiate the DDA on an exclusive basis for the period of time or the “Effective Period” specified in the ENA. The ENA’s Effective Period started on December 1, 2021 and was originally scheduled to expire on June 30, 2022.
