Canaccord Genuity Corp. and Clarus Securities Inc., as co-lead agents (collectively, the “Co-Lead Agents”, and each, a “Co-Lead Agent”), on their own behalf and, if applicable, on behalf of a syndicate of agents (collectively with the Co-Lead Agents, the “Agents”), understand that SOL Global Investments Corp. (the “Corporation”) proposes to issue and sell up to 18,000,000 units of the Corporation (the “Offered Units”) at a price of $0.20 per Offered Unit (the “Offering Price”) for aggregate gross proceeds of up to $3,600,000, subject to the terms and conditions set out below. The offer and sale of the Offered Units is referred to herein as the “Offering”.
