Certain stockholders of MBIA Inc., a Connecticut corporation (the “Company”), named in Schedule II attached hereto (the “Selling Stockholders”), propose to sell an aggregate of 27,250,000 shares (the “Stock”) of the Company’s common stock, par value $1.00 per share (the “Common Stock”).
