WHEREAS, Buyer and Seller entered into that certain Agreement for Sale and Purchase dated as of May 7, 2019, as amended by that certain Amendment to Agreement for Sale and Purchase dated as of August 5, 2019, as amended by that certain Amendment to Agreement for Sale and Purchase dated as of October 10, 2019, as amended by that certain Third Amendment to Agreement for Sale and Purchase dated as of December 11, 2019, as amended by that certain Fourth Amendment to Agreement for Sale and Purchase dated as of February 19, 2020, as amended by that certain Fifth Amendment to Agreement for Sale and Purchase dated as of April 17, 2020, and as further amended by that certain Sixth Amendment to Agreement for Sale and Purchase dated June 8, 2020 (collectively, the “Agreement”), for the purchase and sale of certain real property located in Palm Beach County, Florida, as more particularly described in the Agreement; and
