HOLLYWOOD GP, LLC, a Delaware limited liability company (the “Company”), is entered into as of the 5th day of February, 2019 (the “Effective Date”), by ARTIST GUILD HOSPITALITY, LLC, a California limited liability company (“AGH”), as the initial manager of the Company (in such capacity, the “Manager”), each Person (as defined below) listed on Exhibit A attached hereto as a Member (as defined below), and such other Persons who may from time to time become Members pursuant to the terms and conditions of this Agreement.
