THIS TERM SHEET FOR POWER PURCHASE AGREEMENT (“Term Sheet”) is entered into as of [_____], 2021 (the “Effective Date”), between Central Coast Community Energy, (“3CE”) and [Respondent] (“Respondent”). This Term Sheet includes the key commercial terms and conditions to be included in a proposed power purchase agreement (“PPA”) to be negotiated between 3CE (“Buyer”) and [e.g., Project Company LLC] (“Seller”) (the “Proposed Transaction”). As used herein, Buyer and Seller are each a “Party” and collectively the “Parties.” Notwithstanding anything herein to the contrary, that until a definitive agreement is approved by 3CE’s respective management and Board of Directors, signed and delivered by the Buyer and Seller, no Party shall have any legal obligations, expressed or implied, or arising in any other manner under this Term Sheet to continue negotiations or enter into the Proposed Transaction or the PPA.

This term sheet (“Term Sheet”), dated [mm/dd/yyyy] (the “Effective Date”), includes the key commercial terms and conditions (“Proposed Transaction”) to be included in a power purchase agreement (“PPA”) to be negotiated between Seller and Buyers (as defined below) in connection with the 2020 Joint Request for Proposals (“RFP”). Negotiation of the PPA is subject to Seller’s selection for the RFP shortlist by Buyers, the terms and conditions of the RFP, timely execution of the Exclusive Negotiating Agreement (as defined below) and posting of the Shortlist Deposit (as defined in the Exclusive Negotiating Agreement). Until a definitive agreement is approved by MBCP’s & SVCE’s respective management and Boards of Directors, and signed and delivered, no party shall have any legal obligations, expressed or implied, or arising in any other manner, under this Term Sheet or Proposed Transaction.
