This Amendment No. 1 (the “Amendment”) is made by and between Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a New York corporation with offices at 185 Franklin Street Boston, MA 02110, and Cornerstone Telephone Company, LLC, a limited liability company with offices at 2 Third Street, Suite 303, Troy, New York 12180 (“CSTC”), and shall be deemed effective on April 7, 2004 and in no event later than the date on which the Agreement (as defined below) takes effect (the “Amendment Effective Date”). Verizon and CSTC are hereinafter referred to collectively as the “Parties” and individually as a "Party". This Amendment covers services in Verizon’s service territory in the Commonwealth of Massachusetts (the “Commonwealth”).
