Haywood Securities Inc. (“Haywood”) as lead agent, and PI Financial Corp. (together with Haywood, the “Agents”) understands that Logan Resources Ltd. (the “Company”) proposes to issue and sell a minimum of 16,000,000 (the “Offering”) (subject to the exercise of the Agents’ Option (as defined herein)) subscription receipts of the Company (“Base Subscription Receipts” and together with the Haywood Subscription Receipts, the “Subscription Receipts”) at a price of $0.25 per Subscription Receipt (the “Offering Price”) subject to the terms and conditions set out below.
