On the basis of the representations, and covenants and upon the terms and conditions contained in this Bond Purchase Agreement (this “Purchase Agreement”), EquipmentShare.com Inc. a Delaware corporation (the “Purchaser”), offers to purchase from the City of Moberly, Missouri (the “City”), the above-referenced Taxable Industrial Revenue Bond (EquipmentShare.com Inc. Manufacturing, Refurbishment and Distribution Facility Project) Series 2023, dated as provided in the Indenture (as hereinafter defined), in the maximum aggregate principal amount of $55,000,000 (collectively, the “Bonds”), to be issued by the City, under and pursuant to an Ordinance adopted by the governing body of the City on February 21, 2023 (the “Bond Ordinance”) and a Trust Indenture, dated as of 1, 2023 (the “Indenture”) by and between the City and BOKF, N.A., St Louis, Missouri, as trustee (the “Trustee”). Capitalized terms used and not otherwise defined in this Purchase Agreement shall have the meanings respectively
