WHEREAS, the Parties may exchange certain Confidential Information (as defined below) in connection with a potential transaction between the Parties involving, among other things, the mutual use of product safety evaluation and conformity assessment services with respect to various components, products, equipment and materials, collectively referred to as (“products”).
