Any counteroffer will not be binding on Seller and will be null and void, without notice to Buyer. Acceptance in a course of performance rendered under this Agreement will not be relevant to determine the meaning of this Agreement. All orders are subject to the written approval by an authorized representative of Seller at its headquarters in Mentor, Ohio, U.S.A. No waiver or alteration of the terms herein will be binding unless it is in writing, signed by an authorized representative of Seller. As used herein, the term "Domestic" is defined as within the continental United States, and the term "Foreign" is defined as outside the continental United States.
