This Regulatory Settlement Agreement (“Agreement”) is entered into as of this day of November, 2004, by and between First Unum Life Insurance Company (the “Company”), the Superintendent of Insurance of the State of New York (the “Lead Regulator”), the Commissioner of the Tennessee Department of Commerce and Insurance, the Commissioner of the Massachusetts Division of Insurance and the Superintendent of the State of Maine Bureau of Insurance (collectively with the Lead Regulator, the “Lead Regulators”), and the United States Department of Labor (the “DOL”).
