(the “Interested Party”) and Healthcare Management Partners, LLC, as agent for Derek Pierce in his capacity as court-appointed receiver (the “Receiver”) for the (a) CelesteCare of Horseshoe Bay Assisted Living a 14-unit assisted living Facility; (b) CelesteCare of Horseshoe Bay Memory Care a 16-unit memory care Facility; (c) CelesteCare of Llano Assisted Living a 15-unit assisted living Facility; (d) CelesteCare of Llano Memory Care a 16-unit memory care Facility; (e) CelesteCare of Fredericksburg Assisted Living a 14-unit assisted living Facility; (f) CelesteCare of Fredericksburg Memory Care a 16-unit memory care Facility (collectively, the “Companies”), and supersedes any prior confidentiality agreement between the parties relating to the matters set forth in this Agreement.
