WHEREAS Shandong Gold Mining (HongKong) Co., Limited (hereinafter referred to as the “Original Purchaser”), Shandong Gold Mining Co., Ltd. (hereinafter referred to as the “Original Guarantor”) and the Company are parties to an arrangement agreement made as of May 8, 2020 pursuant to which, among other things, the Original Purchaser proposed to acquire all of the issued and outstanding Common Shares of the Company and securities convertible into Common Shares (other than Common Shares and securities convertible into Common Shares held by the Original Purchaser or its affiliates) by way of a statutory plan of arrangement under the provisions of the Business Corporations Act (Ontario) on the terms and subject to the conditions set out therein (such arrangement agreement, including the schedules attached thereto, as amended, supplemented or restated to the date hereof, being hereinafter referred to collectively as the “Arrangement Agreement”);
