This SEPARATION AND DISTRIBUTION AGREEMENT, dated as of July 29, 2016 (this "Agreement"), is made and entered into by and between Emergent BioSolutions Inc., a Delaware corporation ("Emergent"), and Aptevo Therapeutics Inc., a Delaware corporation ("Aptevo").
