About the deal Under the terms of a Master Implementation Agreement (MIA) Rentokil Initial and Haniel make a binding agreement on the creation of a joint venture consisting of all business segments of CWS- boco and certain European business segments of Rentokil Initial. The MIA was signed on 15 December, 2016. The company will include the entire business of CWS-boco (European textile and hygiene services) and the continental business in the segments of hygiene, workwear, and cleanrooms of Rentokil Initial except for France and smaller branches in southern Europe, which will also remain with Rentokil Initial. CWS-boco International will acquire the main business activities of Rentokil Initial in continental Europe (except for France and the UK). As part of the transaction Rentokil Initial will receive EUR 520 million in Cash as well as approximately 18 percent of the share capital of the combined entity following capital increase.
