This Clari, Inc. Data Processing Addendum and its Annexes (“DPA”) forms part of the Master Subscription Agreement (the “Agreement”) between Clari, Inc. (“Clari” or “Processor”) and the party identified as “Customer” in the Agreement (“Customer” or “Controller”) and reflects the parties’ agreement with respect to the Processing of Personal Data by Clari on behalf of Customer in connection with the Services under the Agreement. In case of any conflict or inconsistency with the terms of the Agreement, the terms of this DPA will supersede and control. Any terms not defined in this DPA will have the meaning as set forth in the Agreement.
