This Employment Agreement (this “Agreement”) is entered into by and between Mannatech Incorporated (the “Company”) and Stephen D. Fenstermacher (the “Employee”), and is effective as of June 14, 2006 (“Effective Date”). The Company desires to employ the Employee, and the Employee desires to be employed by the Company.
