THIS AMENDED AND RESTATED LICENSE AGREEMENT (this “Agreement”) is entered into effective as of March 31, 2008 (“Effective Date”) by and between SONY PICTURES TELEVISION INC. (“Licensor”), a company organized and existing under the laws of Delaware and a wholly-owned subsidiary of Sony Pictures Entertainment Inc. and DIRECTV, INC. (“Licensee”), a company organized and existing under the laws of Delaware and a wholly-owned subsidiary of DirecTV Group Inc. This Agreement amends and restates in its entirety that certain Pay-Per-View Output Agreement dated December 4, 1998, as amended, by and between Col-Star, Inc. and Licensee (“Prior Agreement”). The parties acknowledge and agree that as of the Effective Date, the Prior Agreement shall be terminated and Col-Star, Inc. shall have no obligations under this Agreement.
