AND TRACTOR SUPPLY COMPANY This Transportation Management Services Agreement (the "Agreement") is made and entered into as of the 10th day of May 2001 (the "Effective Date"), by and between Tractor Supply Company, whose address is 320 Plus Park Blvd., Nashville, Tennessee 37217 ("Customer"), and UPS Logistics Group, Inc., whose address is 990 Hammond Drive, Suite 400, Atlanta, Georgia 30328 ("Logistics Group"). WHEREAS, Customer requires transportation management of its goods, commodities or products (the "Goods"); and WHEREAS, Logistics Group has the capability to provide transportation management services (the "Services") of Customer's Goods; and NOW, THEREFORE in consideration of the mutual covenants and conditions contained herein, the parties agree as
