Hudson Pacific Properties, Inc., a Maryland corporation (the “Company”), and Hudson Pacific Properties, L.P., a Maryland limited partnership (the “Operating Partnership” and, together with the Company, the “Transaction Entities”), and the selling stockholders listed in Schedule B hereto (the “Selling Stockholders”) confirm their respective agreements with Merrill Lynch, Pierce, Fenner & Smith Incorporated (the “Underwriter”), with respect to (i) the sale by the Selling Stockholders, acting severally and not jointly, and the purchase by the Underwriter of the respective numbers of shares of Common Stock, par value $0.01 per share, of the Company (“Common Stock”) set forth in Schedules A-1 and B hereto (the “Selling Stockholder Securities”) and (ii) the sale by the Company and the purchase by the Underwriter of the number of shares of Common Stock set forth in Schedule A-2 hereto (the “Funded Redemption Securities” and, together with the Selling Stockholder Securities, the “Securities”).
