This AGGREGATE STOP-LOSS REINSURANCE AGREEMENT (this “Agreement”) is made and entered into as of June 30, 2010, by and between Liberty Mutual Insurance Company, a Massachusetts stock insurance company (“LMIC”), and Peerless Insurance Company, a New Hampshire stock insurance company (“PIC”), a wholly-owned subsidiary of Liberty Mutual Agency Corporation, a Delaware corporation (“Agency Markets”). PIC together with LMIC, each a “Party” and, collectively, the “Parties”). This Agreement shall only become effective upon the Effective Date (as defined below). WHEREAS, in connection with the initial public offering of Agency Markets’ Class A Common Stock, LMIC has agreed to indemnify PIC for certain specified losses, liabilities and expenses that may be incurred by Agency Markets’ Insurer Subsidiaries (as defined herein), including PIC, arising out of or relating to the Run-Off Liabilities (as defined herein) to the extent and upon the terms and conditions set forth herein.
