This Order Form (“Order Form”) is entered into pursuant to the Software License and Services Agreement dated effective 05/18/2010 as amended (the “Agreement”) between TIBCO Software Inc. (“Licensor”) and the City of Anaheim, a municipal corporation (‘Licensee”), and sets forth the maximum Number of Units by License Type that Licensee may use of the Licensor Software under this Order Form during the specified term. In the event of any conflict between this Order Form and the Agreement, the Order Form will prevail. Capitalized terms used in this Order Form and not otherwise defined, are defined in Exhibit A of the first amendment to the Agreement. The effective date of this Order Form (“Order Form Effective Date’) shall be the latest date of execution hereinafter set forth opposite the names of the signators hereto. Licensor and Licensee are sometimes individually referred to herein as “Party” and collectively as “Parties.”
