This Matilda Jane Clothing Independent Trunk Keeper Agreement ("Agreement") is entered into on the date set forth below by and between MJC Acquisition, LLC, an Indiana limited liability company (referred to hereinafter as "Matilda Jane," "MJC," "the Company," or "Matilda Jane Clothing") and ("Trunk Keeper"). Trunk Keeper is signing this Agreement both in his/her individual capacity and also on behalf of, if applicable, any business entity formed by or on behalf of the Trunk Keeper through which the Trunk Keeper will operate, and the Trunk Keeper agrees that he/she and such entity are each obligated to fulfill all of the obligations of the Trunk Keeper as described in this Agreement. This Agreement supersedes all previous agreements between Matilda Jane and the Trunk Keeper, and any such prior agreements are hereby rendered null and void.
