The undersigned, Hilltop Securities Inc. (the “Underwriter”), offers to enter into the following agreement with the City of Flagstaff, Arizona (the “Issuer”), which, upon the Issuer’s written acceptance of this offer, will be binding upon the Issuer and upon the Underwriter. The undersigned, Hutchinson, Shockey, Erley & Co. (the “Underwriter”), offers to enter into the following agreement (this “Agreement”) with the Williamson County Commissioners Court (the “Commissioners Court”) acting as the governing body of the Northwoods Road District No. 1 (the “Issuer”), which, upon the Issuer’s written acceptance of this offer, will be binding upon the Issuer and upon the Underwriter. This offer is made subject to the Issuer’s written acceptance hereof on or before 10:00 p.m., Central Time, on December 4, 2018, and, if not so accepted, will be subject to withdrawal by the Underwriter upon notice delivered to the Issuer at any time prior to the acceptance hereof by the Issuer.
