The parties herein agree to the terms of this Memorandum as constituting full settlement of all issues between the parties. If agreed to, all items which do not form part of this Memorandum of Settlement will be considered to be withdrawn. If not agreed to, the parties will revert to their respective positions on the outstanding items. Unless otherwise specified, changes to terms and conditions will be effective as of the date of ratification by both parties.
