The undersigned (hereinafter referred to as the “Subscriber”) hereby irrevocably subscribes for and agrees to purchase a Senior Secured Convertible Debenture to be issued by the Corporation (each a “Debenture”) set forth below for the subscription amount set forth below (the “Subscription Amount”), upon and subject to the terms and conditions set forth in “Terms and Conditions of Subscription for Senior Secured Convertible Debentures of Cielo Waste Solutions Corp.” (the “Terms and Conditions”) attached hereto (together with this page and the attached exhibits, the “Subscription Agreement”).
