This Engineering, Procurement and Construction Contract (this “Contract”) is entered into this day of May, 2011 (the “Effective Date”) by and between SunPower Corporation, Systems, a Delaware corporation having its principal place of business at 1414 Harbour Way South, Richmond, CA, 94804 (“Installer”), and San Jose - Evergreen Community College District, a California Community College having its principal place of business at 4750 San Felipe Road, San Jose, CA 95135 (“Customer”). In the event of a conflict between the terms and conditions of this Contract and the terms and conditions of any Work Authorization executed pursuant to this Contract, the terms and conditions of this Contract shall control.
