THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of this 27th day of April 2023 (the “Effective Date”), by and between LITTLE ROCK SCHOOL DISTRICT, an Arkansas public school district with a locally elected school board (“Seller”), and AMS PROPERTIES – ARKANSAS, INC., an Arkansas nonprofit corporation or affiliated nominee (“Buyer”). Seller and Buyer are sometimes collectively referred to herein as the “Parties” or individually as a “Party.”
