This Developer’s Agreement (this "Agreement") is made and entered into this _ day of _ , 2018, by and between the Town of Cleveland, a Wisconsin governmental entity (the "Town"), and Fairchild Rail, LLC (the "Operator", or “Proposed Operator” ), a Wisconsin limited liability company. Each of the Operator and the Town are sometimes referred to herein individually as a "Party" and collectively as the "Parties." The term "Operator's Representatives" shall include Operator's contractors, subcontractors, agents, employees, suppliers and designees.
